Mattercite
Terms of use
Mattercite is a service of Kardev One LLC, a Minnesota limited liability company ("Kardev One", "we"). It drafts due-diligence questionnaire answers from documents you upload. By creating an account or using the service you agree to these terms with Kardev One LLC.
The service
You are responsible for reviewing and approving responses before sending them to a counterparty. Use is subject to the published plan limits and, where shown, a trial period. Service availability may be affected by maintenance, outages, or technical issues.
Your content
You retain rights in the documents and answers you put in a workspace. You grant us a limited license to host, process, and display that content solely to operate the workspace (including retrieval and model inference on our infrastructure providers). You represent that you have the right to upload the files you submit.
Acceptable use
- Do not attempt to access another workspace or probe the service for other customers’ data.
- Do not upload malware or use the service to break the law.
- Do not treat generated text as legal, security, or compliance advice.
Fair use
Document ingestion is not metered, but it is for the material your organisation relies on to answer questionnaires: policies, procedures, audit reports, contracts, prior answers, and similar. It is not general-purpose file storage or a bulk indexing service. If a workspace's uploads are far outside what an organisation of its size would plausibly use for due diligence (for example bulk uploads of public reference material, scraped content, or files unrelated to your own organisation), or if they degrade the service for other customers, we may pause uploads for that workspace, ask you to remove the material, or set an upload limit for the workspace. We will tell you when we do this. Documents already uploaded and the answers drawn from them stay available.
Re-running a question is free so your answers can follow your documents as they change. It is not a way around the question allowance. Re-runs far beyond what keeping your questionnaires current requires (for example scripted or repeated re-runs of the same questions with no change to the documents behind them), or re-runs that degrade the service for other customers, fall outside fair use. If that happens we may count further re-runs against the workspace's allowance or set a re-run limit for the workspace. We will tell you when we do this. Answers already drafted stay available.
Accounts
You are responsible for the people you invite and for keeping credentials confidential. Workspace owners can invite members. We may suspend an account that abuses the service or these terms.
Plans and payment
Paid plans are billed in advance, monthly or annually, through our payment processor, Stripe. Subscriptions renew automatically until you cancel. Cancelling stops the next renewal; the current period runs to its end. Upgrades take effect immediately and are prorated. Each plan includes a set number of new questions per month; a question counts once, and re-running it later is free under the fair use terms above. When the allowance is reached, Mattercite stops drafting new questions until the next month, an upgrade, or a question pack you buy. Question packs are one-off purchases, used only after the monthly allowance, and carried over while your subscription is active. We never bill for use beyond the plan without your explicit agreement. Prices may change with at least 30 days notice, effective at your next renewal. Fees exclude taxes; where we must collect sales or similar tax it is added to the invoice. If a payment fails we will notify you and may suspend paid features until it is settled.
Disclaimer
The service is provided “as is.” To the extent permitted by law we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We are not liable for lost profits or for the content of questionnaire answers you export. Our aggregate liability for claims relating to the service is limited to the amount you paid us for it in the previous three months.
Data after cancellation
When a subscription ends or a free trial expires, the workspace becomes read-only: you can still sign in to review, export, and delete your work, but not upload, run, or ask new questions, and API and MCP access stops. We keep the workspace in that state for 12 months from the end of the paid period so you can come back or take your data with you. Thirty days before the end of that period we email the workspace owner. At the end of it we delete the workspace permanently: uploaded documents, extracted text, search indexes, questionnaires, answers, knowledge pairs, members, and the account. Subscribing again within the 12 months restores full access with everything intact. A workspace owner can delete the workspace at any time from Configuration, and you can ask us to delete it by email; we do that within a few business days. Deleted data cannot be recovered.
Governing law
These terms are governed by the laws of the State of Minnesota, without regard to its conflict of law rules. Any dispute arising from these terms or the service will be brought in the state or federal courts located in Minnesota, and both parties consent to their jurisdiction.

Changes
